Prequalification

A viability assessmentbefore the process begins.

A working session to determine whether your transaction can be structured and financed, for a private issuance and for a capital raise alike.

What it is

The first stepof every transaction.

A complete structuring process takes three to five months. Prequalification tells you at the outset whether the transaction has what it takes to complete it.

The session covers two separate questions. Whether the asset can support a structure, and under which legal form: the prequalification of an issuance. And whether the transaction has real appetite among investors and distributors: the prequalification of the capital raise.

We review the asset, the cash flow behind it, the available documentation and the amount sought, and deliver a written opinion with the concrete steps.

Who it is for

  • Companies and projects assessing whether to raise capital.
  • Asset owners considering tokenization.
  • Advisors who need a technical opinion before presenting a transaction.

What it includes

A written opinionon both questions.

Viability of the structure

Whether the asset can support a vehicle, under which legal form and in which jurisdiction.

Viability of the raise

Whether the transaction has real appetite among the investors and distributors it would be addressed to.

Missing documentation

Suggested instrument

Next steps
