Private bonds, convertible notes and bridge loans backed by real assets already have a regulated route. The token is the last step.

Black and white geometric composition

Tokenizing debt does not turn a loan into a currency. It means structuring a credit instrument that a qualified investor can buy, with the issuance registered under the law.

Which instruments qualify

  • Private bonds and convertible notes.
  • Structured investment products with variable yield.
  • Interests in alternative funds.
  • Structured bridge loans backed by real estate.

What is required first

Structuring under subsection (e) of Article 19 requires financial analysis of the debt, identification of technical and regulatory risks, and a vehicle built to withstand review by an investment committee.
